Acceptance of these Terms

These Terms of Service form a legally binding agreement between you and Techparser, LLC, the owner and operator of the Supportweave platform.

In these Terms, “Supportweave”, “we”, “us”, and “our” refer to Techparser, LLC in its capacity as the provider of the Supportweave website, platform, applications, APIs, AI services, and related products. “You” and “your” refer to the individual or organization accessing or using the service.

By creating an account, accessing Supportweave, purchasing a subscription, accepting an order form, or otherwise using the service, you agree to these Terms and the policies incorporated into them.

If you use Supportweave on behalf of an organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization.

If you do not agree to these Terms, you must not access or use Supportweave.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use Supportweave.

You may not use Supportweave if you are prohibited from receiving the service under applicable law, sanctions, export-control restrictions, or other legal requirements.

You must provide accurate, current, and complete information when creating an account and must keep that information updated.

The Supportweave service

Supportweave enables customers to create knowledge-grounded AI agents, connect knowledge sources, embed chat widgets, connect supported communication channels, manage conversations, capture leads, configure automated actions, escalate conversations to human agents, and monitor usage.

Supported channels may include web chat, email, WhatsApp, Messenger, Instagram, Slack, SMS, voice, phone, and other channels made available by Supportweave. Channel availability depends on your plan, configuration, location, and the availability and approval requirements of connected providers.

Supportweave may also provide APIs, webhooks, analytics, integrations, reseller functionality, white-label branding, client workspaces, pooled AI credits, usage controls, and reseller billing tools.

The specific features, allowances, limits, and support included in your subscription are determined by the applicable pricing page, order form, plan description, account dashboard, or separate written agreement with Techparser, LLC.

Accounts, workspaces, and security

You are responsible for your account, organization, workspaces, invited users, clients, roles, permissions, integrations, and all activity conducted through them.

You must protect passwords, API keys, access tokens, webhook secrets, integration credentials, channel credentials, and other authentication information associated with your account.

You must use two-factor authentication where required or made mandatory for your account, plan, role, or organization.

You are responsible for assigning appropriate permissions and promptly removing access for users, employees, contractors, clients, or other individuals who no longer require it.

You must notify us promptly at help@supportweave.com if you discover or reasonably suspect unauthorized access, credential compromise, account misuse, or another security incident involving Supportweave.

Techparser, LLC is not responsible for losses resulting from compromised credentials, insecure configurations, unauthorized users, or account activity that occurs before you notify us, except where applicable law provides otherwise.

Your responsibilities

You are responsible for how you configure and use Supportweave, including the knowledge sources you connect, prompts and instructions you provide, channels you enable, messages you send, actions your agents perform, integrations you configure, and outputs you present to end users.

You must obtain all rights, permissions, licenses, legal bases, and authorizations necessary to upload, process, transmit, store, or use content and personal information through Supportweave.

You must provide all notices and obtain all consents required for AI-assisted interactions, lead capture, messaging, email outreach, call recording, transcription, voice processing, automated actions, and personal-data processing.

You are responsible for complying with the terms and policies of every connected messaging, email, telephony, social-media, workplace, payment, hosting, and integration provider.

You must not rely on Supportweave as your sole method of communication for emergency, life-safety, crisis-response, or other time-critical situations.

Privacy, customer data, and data processing

Our Privacy Policy explains how Techparser, LLC collects, uses, discloses, stores, and protects personal information in connection with Supportweave.

When Techparser, LLC processes account, billing, website, support, or business-contact information for its own purposes, Techparser, LLC generally acts as the controller or business responsible for that information.

For customer content and end-user personal information processed through customer-configured agents, the customer generally acts as the controller or business, and Techparser, LLC generally acts as the processor or service provider on the customer’s behalf.

Where required, the Supportweave Data Processing Addendum applies once accepted, incorporated into an order form, or separately executed.

You are responsible for responding to requests from your end users concerning their personal information. We will provide reasonable assistance where required by applicable law and our agreement with you.

Your content

As between you and Techparser, LLC, you retain ownership of the content, knowledge sources, files, instructions, configurations, messages, conversations, contacts, and other information you submit to Supportweave.

You grant Techparser, LLC and its subprocessors a limited, non-exclusive, worldwide right to host, copy, transmit, parse, index, embed, retrieve, display, modify, and otherwise process your content solely as necessary to provide, secure, maintain, support, and improve the service.

You represent that you have sufficient rights to provide your content to Supportweave and permit the processing described in these Terms and our Privacy Policy.

You are responsible for the accuracy, legality, quality, integrity, and appropriateness of your content.

Techparser, LLC does not use customer knowledge sources, conversations, leads, contacts, or other customer content to train our own or third-party foundation models.

AI outputs, agent actions, and human review

Supportweave uses artificial intelligence and automated systems that may produce inaccurate, incomplete, outdated, biased, offensive, or otherwise unsuitable results.

You are responsible for reviewing, testing, monitoring, and validating your agents, knowledge sources, prompts, instructions, integrations, and outputs before and during production use.

You must implement appropriate fallback messages, action restrictions, escalation paths, and human review for sensitive, regulated, consequential, or high-risk workflows.

You are responsible for actions your agents are configured to perform, including lead capture, appointment booking, ticket creation, order lookup, webhook delivery, API requests, account updates, and communications sent to end users.

You must not represent AI-generated output as independently verified, professionally approved, or guaranteed accurate unless it has been reviewed and approved by an appropriately qualified person.

Techparser, LLC may apply model restrictions, moderation controls, action limits, warnings, or other safeguards where reasonably necessary to protect users, comply with law, or satisfy provider requirements.

Acceptable use

You must use Supportweave lawfully and in accordance with our Fair Use and Acceptable Use Policy, which is incorporated into these Terms.

You may use Supportweave to support, assist, communicate with, and provide services to your own customers or the customers of clients you are authorized to represent.

You are responsible for ensuring that your users, clients, contractors, and reseller customers comply with these Terms and the Fair Use and Acceptable Use Policy.

Techparser, LLC may investigate suspected misuse and may restrict, suspend, or terminate access where necessary to protect Supportweave, other customers, end users, connected providers, or the public.

Prohibited activities

  • Using Supportweave for illegal, fraudulent, harmful, deceptive, abusive, harassing, discriminatory, infringing, or unauthorized activity.
  • Sending unsolicited bulk messages, spam, unlawful marketing communications, or messages that violate sender, consent, opt-out, email, telephony, or messaging requirements.
  • Using Supportweave for phishing, malware, credential theft, impersonation, social engineering, account takeover, fraudulent lead capture, or unauthorized collection of payment or authentication credentials.
  • Attempting to probe, scan, scrape, reverse engineer, attack, compromise, or disrupt Supportweave or a connected system without prior written authorization.
  • Attempting to bypass authentication, authorization, tenant isolation, billing, credits, quotas, spend caps, rate limits, plan restrictions, or security controls.
  • Uploading malicious files, scripts, payloads, prompts, links, or instructions intended to compromise Supportweave, another customer, an end user, or a third-party provider.
  • Using APIs, webhooks, agents, integrations, or automated actions to access unauthorized information, overload systems, evade limits, or disrupt third-party services.
  • Using Supportweave to infringe intellectual-property, privacy, publicity, confidentiality, contractual, or other rights.
  • Reselling, sublicensing, sharing, or commercially exploiting Supportweave outside the rights granted by your plan, reseller agreement, order form, or separate written agreement.
  • Using Supportweave in violation of sanctions, export controls, trade restrictions, or restrictions applicable to prohibited persons, organizations, countries, goods, or services.

Adult content and sexual services

You may not use Supportweave to create, host, support, automate, market, promote, or provide customer service for pornography, sexually explicit content, adult entertainment, escort services, sexual services, fetish content, adult dating, or businesses and workflows primarily related to explicit sexual content.

You may not use Supportweave for sexual exploitation, non-consensual intimate content, sexual content involving minors, trafficking, abuse, coercion, grooming, or any unlawful sexual activity.

Techparser, LLC may determine, in its reasonable discretion, whether a use case falls within these restrictions.

High-risk and regulated use

Supportweave is not designed to independently provide emergency services, medical diagnoses, treatment recommendations, legal advice, financial advice, investment decisions, credit decisions, insurance decisions, employment decisions, safety-critical instructions, or other regulated or consequential determinations.

You must use qualified human review and all legally required safeguards when using Supportweave in a regulated, sensitive, or high-risk context.

You may not process protected health information, regulated medical information, payment-card data, government identification numbers, biometric identifiers, or other specially regulated data unless Techparser, LLC has expressly approved the use in writing and all required agreements and safeguards are in place.

Where applicable, processing protected health information requires a separately executed business associate agreement. Supportweave is not HIPAA-compliant for your use merely because particular security features are available.

APIs, webhooks, and integrations

If you use Supportweave APIs, webhooks, connected actions, or integrations, you are responsible for securing your credentials, endpoints, receiving systems, permissions, and integration configurations.

You must not use APIs, webhooks, actions, or integrations to overload systems, probe infrastructure, bypass limits, access information outside your authorized workspace, or perform unlawful or unauthorized activities.

Techparser, LLC may rate-limit, disable, rotate, suspend, or revoke API keys, webhook delivery, actions, or integrations where reasonably necessary to protect the service, prevent abuse, enforce plan limits, or respond to security concerns.

You are responsible for confirming that automated actions have completed successfully and for implementing appropriate validation, retry, fallback, and human-review procedures.

Third-party services and connected channels

Supportweave relies on third-party providers for infrastructure, AI processing, payments, messaging, telephony, email delivery, analytics, monitoring, authentication, and integrations.

Your use of a connected channel or third-party integration may be subject to that provider’s own terms, policies, pricing, approval requirements, limitations, and availability.

Techparser, LLC does not control and is not responsible for third-party outages, policy changes, model changes, delivery failures, blocked messages, rejected sender registrations, suspended accounts, data loss, pricing changes, or service limitations outside our reasonable control.

We may modify, restrict, replace, or discontinue an integration when required by the relevant provider, applicable law, security concerns, technical limitations, or product changes.

Third-party authentication

Supportweave may allow you to register or sign in using a third-party identity provider, including Google.

When you use a third-party sign-in method, your relationship with that identity provider is also governed by its applicable terms, privacy policy, and account requirements.

You authorize Techparser, LLC to receive and use authentication and account information provided by the identity provider as described in the Supportweave Privacy Policy.

You are responsible for maintaining access to and securing the third-party account used to access Supportweave.

Techparser, LLC does not control and is not responsible for the availability, security, suspension, termination, or operation of a third-party identity provider.

We may require an alternative authentication method or additional verification if access through a third-party identity provider becomes unavailable or if necessary to protect your Supportweave account.

Plans and subscriptions

Paid Supportweave plans are billed in advance on a monthly, annual, or other recurring basis stated at checkout, in your order form, or in your subscription settings.

Your subscription automatically renews at the end of each billing period unless you cancel it before the renewal date.

By purchasing a subscription, you authorize Techparser, LLC and its payment provider to charge the applicable subscription fees, usage charges, taxes, and other disclosed amounts to your selected payment method.

You must maintain a valid payment method and accurate billing information. Failed or overdue payments may result in retry attempts, feature restrictions, account suspension, or termination.

Techparser, LLC may change plan pricing, allowances, or features by providing reasonable advance notice. Pricing changes generally apply from your next renewal unless otherwise stated.

Customer plans and reseller plans may have different pricing, renewal, usage, and billing terms.

AI credits, quotas, and usage limits

Paid usage may be measured through AI credits, messages, conversations, voice minutes, storage, seats, workspaces, connected channels, knowledge sources, API requests, or other metrics described in your plan.

AI credits may be consumed by chat responses, voice interactions, transcription, knowledge processing, crawling, embeddings, retrieval, classification, summarization, agent actions, and related AI operations.

Usage estimates are provided for guidance only. Actual consumption varies based on model selection, conversation length, knowledge-base size, retrieval configuration, channels, actions, integrations, and third-party-provider usage.

One-time credit or usage top-ups may be purchased where available. Purchased credits do not expire unless otherwise disclosed when purchased, but they remain subject to your account status, these Terms, abuse controls, and applicable legal requirements.

Credits have no cash value, are not transferable between unrelated accounts, and cannot be redeemed for cash except where required by law.

If you exhaust your credits, reach a quota or spend cap, or exceed another plan limit, Supportweave may pause, restrict, queue, downgrade, or disable certain AI responses, integrations, actions, or resource creation.

Disabling or deleting a resource may free an active-capacity slot, but it does not reverse usage, credits, messages, minutes, storage, or costs already incurred.

Free plans, trials, and beta features

A Free plan may be offered with limited messages, credits, workspaces, features, integrations, support, or usage. It may be modified, restricted, or discontinued at any time.

Unless expressly stated otherwise, the Free plan serves as the available trial experience, and no separate paid-plan trial is guaranteed.

Beta, preview, experimental, or early-access features may be incomplete, changed without notice, subject to additional restrictions, and provided without service-level commitments.

You should not rely on beta or preview features for production-critical, regulated, safety-sensitive, or irreversible workflows.

Taxes

Fees displayed by Supportweave may exclude applicable sales tax, VAT, GST, withholding tax, or similar governmental charges unless expressly stated otherwise.

You are responsible for taxes associated with your purchase or use of Supportweave, except for taxes imposed on the net income of Techparser, LLC.

Where required, Techparser, LLC or its payment provider may calculate, collect, and remit applicable taxes based on your billing information, business status, and location.

You must provide accurate tax information and any valid exemption or reverse-charge documentation before the applicable charge is processed.

White-label and reseller terms

Eligible reseller organizations may create branded client workspaces that use a shared credit pool and are subject to plan limits, client-seat limits, usage controls, spend caps, and credit availability.

You are responsible for your reseller clients, their users, their use of Supportweave, their connected channels, their content, their automations, and their compliance with these Terms and applicable law.

You are responsible for your pricing, contracts, invoices, taxes, representations, privacy disclosures, support obligations, service commitments, and disputes with your clients.

Techparser, LLC is not a party to agreements between you and your reseller clients and is not responsible for refunds, damages, commitments, or disputes arising from those agreements.

You are responsible for ensuring that logos, brand assets, custom domains, sender identities, support links, DNS records, and email configurations are accurate, lawful, authorized, and do not infringe third-party rights.

You are responsible for email deliverability, sender reputation, opt-out compliance, and messaging compliance when using your own domains, sender identities, communication providers, or client configurations.

White-label and reseller functionality requires an eligible active plan. If that plan expires, is cancelled, becomes overdue, or is terminated, white-label functionality may be restricted, disabled, or reverted to Supportweave branding.

Abusive or prohibited activity by a reseller client may result in restrictions or suspension affecting the client workspace, connected channels, reseller organization, or reseller features.

Payment processing

Payments for Supportweave subscriptions, usage, and credit purchases are accepted by Techparser, LLC and processed through Stripe or another authorized payment provider.

Your use of payment-provider functionality may also be subject to the provider’s terms and privacy policy.

Techparser, LLC does not store complete payment-card numbers. Payment information is collected and processed by the applicable payment provider.

You authorize the payment provider to store your payment method where necessary for recurring charges, renewals, usage charges, and account recovery.

Cancellation, downgrades, and refunds

You may cancel an eligible subscription through the Supportweave Billing page or another cancellation method made available to you.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period. You may continue using the paid plan until that date, subject to these Terms.

Subscription fees, usage charges, and purchased credits are non-refundable except where required by applicable law, expressly stated in our Cancellation and Refund Policy, or agreed by Techparser, LLC in writing.

Downgrading or cancelling may reduce available features, credits, chatbots, workspaces, knowledge sources, seats, channels, branding, integrations, storage, and usage limits.

Resources or configurations exceeding the limits of the new plan may be restricted, disabled, suspended, archived, or scheduled for deletion unless you upgrade or reduce usage.

You should export any information you require before your account or workspace is terminated or scheduled for deletion.

Suspension and termination

Techparser, LLC may suspend, restrict, or terminate access to Supportweave if you violate these Terms, fail to pay amounts when due, create security or legal risk, engage in prohibited activity, or use the service in a manner that harms Supportweave, other customers, connected providers, or end users.

We may suspend access immediately and without prior notice where activity appears fraudulent, illegal, abusive, harmful, security-sensitive, or likely to expose Techparser, LLC or another party to material risk.

Where reasonably practical, we may provide notice and an opportunity to correct a non-serious violation before terminating your account.

Upon termination, your right to access and use Supportweave ends. Provisions that by their nature should survive termination will remain effective, including provisions concerning payment obligations, intellectual property, confidentiality, disclaimers, indemnification, liability limitations, disputes, and general legal terms.

Suspension or termination for a violation does not automatically entitle you to a refund, credit, or reimbursement.

Intellectual property

Techparser, LLC and its licensors own all rights, title, and interest in Supportweave, including the platform, software, APIs, interface, designs, documentation, technology, models, workflows, trademarks, logos, and related intellectual property.

These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use Supportweave during your active subscription and in accordance with your plan.

Except where permitted by law or expressly authorized in writing, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, extract source code from, or create derivative works from Supportweave.

No rights are granted except those expressly stated in these Terms.

Feedback

If you provide suggestions, ideas, feature requests, recommendations, or other feedback concerning Supportweave, you grant Techparser, LLC a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation.

This does not transfer ownership of your customer content or confidential business information.

Confidentiality

Each party may receive confidential information from the other in connection with Supportweave. The receiving party must protect that information using reasonable care and use it only for purposes related to the service or applicable agreement.

Confidential information does not include information that is publicly available without breach, lawfully received from another source without confidentiality obligations, independently developed without use of the confidential information, or already known without restriction.

A party may disclose confidential information where required by law, provided it gives prior notice where legally permitted and reasonably cooperates in seeking protective treatment.

Service availability and modifications

Techparser, LLC works to keep Supportweave available and reliable, but does not guarantee uninterrupted, secure, or error-free operation unless a separate written service-level agreement expressly provides otherwise.

Supportweave may be temporarily unavailable because of maintenance, updates, security incidents, provider outages, network failures, infrastructure changes, emergencies, or circumstances outside our reasonable control.

We may add, modify, replace, restrict, suspend, or discontinue features where reasonably necessary for security, compliance, reliability, provider requirements, abuse prevention, legal obligations, or product development.

Where a material discontinuation significantly affects an active paid plan, we will provide reasonable notice where commercially and legally practicable.

Disclaimer of warranties

To the maximum extent permitted by law, Supportweave is provided on an “as is” and “as available” basis.

Techparser, LLC disclaims all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and compatibility.

We do not warrant that Supportweave or AI-generated output will be uninterrupted, error-free, secure, accurate, complete, compliant with your specific obligations, or suitable for a particular purpose.

You are responsible for determining whether Supportweave is appropriate for your intended use and for implementing appropriate testing, monitoring, backups, review, and safeguards.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Techparser, LLC, its affiliates, officers, employees, contractors, and agents from claims, damages, losses, liabilities, penalties, costs, and reasonable legal fees arising from or related to your content, your use of Supportweave, your clients or end users, your violation of these Terms, your violation of applicable law, or your infringement of another party’s rights.

Techparser, LLC will provide reasonable notice of an indemnified claim and reasonable cooperation at your expense. You may not settle a claim in a manner that admits fault by or imposes obligations on Techparser, LLC without our prior written consent.

Limitation of liability

To the maximum extent permitted by law, Techparser, LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.

To the maximum extent permitted by law, the total aggregate liability of Techparser, LLC arising from or relating to Supportweave or these Terms will not exceed the amount you paid to Techparser, LLC for Supportweave during the twelve months immediately preceding the event giving rise to the claim.

For a Free plan or where you have paid no fees during that period, Techparser, LLC will not be liable for any claim.

These limitations apply regardless of the legal theory and even if Techparser, LLC was advised that damages were possible.

The limitations do not apply to liability that cannot legally be limited or excluded.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or Supportweave will be brought exclusively in the state or federal courts located in US, Delaware, and each party consents to the personal jurisdiction and venue of those courts.

Before filing a formal claim, each party agrees to make a reasonable good-faith effort to resolve the dispute by providing written notice describing the issue and requested resolution.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief to protect intellectual property, confidential information, security, or legal rights.

Mandatory consumer-protection rights applicable in your jurisdiction are not excluded by this section.

Changes to these Terms

Techparser, LLC may update these Terms to reflect changes to Supportweave, our business model, legal requirements, provider restrictions, security practices, or operational needs.

The revised Terms will be posted on this page with an updated “Last updated” date.

Where required by law or where changes are materially adverse, we will provide additional notice through Supportweave, by email, or through another reasonable method.

Your continued use of Supportweave after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree to a material change, you must stop using Supportweave and cancel your subscription.

General terms

These Terms, together with the Privacy Policy, Fair Use and Acceptable Use Policy, applicable Data Processing Addendum, Cancellation and Refund Policy, order forms, and other incorporated policies, constitute the entire agreement concerning Supportweave unless a separate written agreement states otherwise.

If an order form or separately signed agreement conflicts with these Terms, the order form or signed agreement controls only to the extent of the conflict.

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Techparser, LLC. Techparser, LLC may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer of the Supportweave business.

If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective.

A failure to enforce a provision is not a waiver of the right to enforce it later.

Section headings are provided for convenience and do not affect interpretation.

Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.

Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, or franchise relationship between you and Techparser, LLC.
